I’m Obsessed with systems – as if you couldn’t tell
The colored blocks represent the major systems and with subsystems listed within them. Each system produces a number of outputs (results). Any successful company is producing relevant outputs in all of these areas. The difference is in how it’s being done.

Some companies produce their results primarily with experts who keep the wisdom of how to do it in their heads. I call that Grandma in the kitchen without a recipe. It works – food is wonderful. But it’s not very robust. That means it’s at risk. If the experts leave, there’s a gap that’s hard to fill. Even if they don’t leave, they often can’t be promoted without leaving a gap. And replacing grandmas experts can be very expensive – if you can find them at all. In addition, systems that are robust are more scalable. This keeps costs down and makes it easier to grow your company.
Here’s what makes a system robust:
How do your systems stack up?
Documentation. The system is documented so it can be done repeatedly by more than one person and new people can be trained to produce the output with no loss of quality.
Accountability. There is a single person accountable to produce each output. This person doesn’t have to produce the outputs, but they are responsible that they get produced.
Metrics. The output is measured so that quantity, quality, and any applicable attributes of the output can be tracked and improved. It’s important that you measure what’s important, not just what’s easy to track.
Subdivisions. This is perhaps the most important. As companies grow, the output that was produced by one person from start to finish can be broken out into subsystems such that the output of one is the input to the next.

Top Down or Bottom Up?
Founders and those who acquired their company after working in it tend to see the company from the bottom up. They’ve gotten their hands dirty making the product or generating sales (or both). They tend to know that certain relationships with vendors or customers are critical to success. But they’ve often cobbled together the other aspects of running a company: money, management, hiring, planning. As a result, they can get stuck in the tactical, daily work and can’t always achieve the growth potential they envision.
On the other hand, ETA searchers or Private Equity folks tend to look at the company from the top down. They see the numbers as cells in a spreadsheet but don’t always know how those numbers are produced. They often miss the nuances of what makes the company special because they think all the parts are replaceable. Mark Brooks has a great quote “Working hard comes before working smart.” They often miss that and end up trying to grow from a foundation that’s not as solid as they had hoped.

I really like this post, John. Something I’d challenge is the private equity / ETA perspective of the business only relies on top down. Undoubtedly, someone who grew up in the business before taking it over has an intimate understanding of how the business functions. However, I would argue that good operators who come in from the outside take the time to do operational and personnel due diligence (as well as financial) to ensure they know how the system functions before making changes. There’s things that will be unaffected by “PE / ETA” platform changes (e.g., adding call center capacity for a home services business; payroll systems), and things that definitely will be affected (e.g., vendor relationships and speed to delivery, etc.) — the good operators that come from the outside know how balance these without breaking the system they acquired.

Thanks for your comment. I think what you say is true for mid-market and bigger companies. For SMB companies it’s often hard to get access to the people who could provide the due diligence that’s required for much other than financial documents. An ETA searcher who only has access to the seller might not know the right questions to ask or how to interpret the answers to really determine operational due diligence. And in companies where key office personnel have long standing experience that isn’t properly documented, the changes you mentioned (like call center capacity and payroll systems) can indeed, if not handled properly, unintentionally alienate some of those key people and make the transition harder than it could be – or worse motivate them quit taking with them a lot of knowledge and even relationships that no one else in the company has.

100% valid. Access to people prior to the sale is extremely difficult. And sadly, the level of insight some owners have on their own people isn’t as good as it could or should be. However, from my own experience with acquisition and transition of SMBs, albeit through a PE platform, people diligence can be rooted out during the ops dd. For example, during the last acquisition I was part of, I spent multiple 3+ hour sessions with the seller and operations manager reviewing the org chart and getting specific details on each person and how they fit into the overall system of the organization. This helped me know what to change and what not, and who to go to create buy-in during the change management phase. Granted this was a $10-$15m home services business with -50 people, and the prior owner was very involved in personnel management, so getting this intelligence was feasible.
I’d say the level of access to people and non-documented institutional is a challenge regardless of size of business or whether it’s PE / ETA.
Perhaps it’s just my wishful thinking that all acquirers would do this diligence beforehand and not assume they know how something works just from the numbers. Take time to confirm the hypotheses derived from the top down view with the bottom up intel from the people you’re leading.
